Real Estate and Transactional Attorney

We are seeking a full-time Real Estate and Transactional Attorney to join our dynamic and growing private equity company, headquartered in Cedar Rapids, IA. This in-house role offers the opportunity to work on a broad range of real estate, transactional, and litigation-related matters in a collaborative environment.

This attorney will support the company’s strategic objectives by ensuring all transactions and business activities are legally sound, while also providing proactive guidance on litigation and risk management.

Key Responsibilities

Draft, review, and negotiate purchase and sale agreements, leases, easements, and other real estate documents.

Draft operating agreements, form LLCs, assist with entity filings, and advise on corporate governance matters.

Review title insurance commitments and policies; prepare and negotiate objection letters and curative documents.

Assist with Tenancy-in-Common agreements, roll-up documentation, and other ownership structures.

Develop and maintain the company’s form library, litigation playbooks, and legal department systems.

Conduct due diligence on acquisitions, including review of surveys, zoning, environmental reports, title, and contracts.

Oversee due diligence war rooms and related documentation for dispositions.

Draft, review, and negotiate joint venture agreements, loan agreements, and financing documents.

Review and negotiate subscription agreements and related investment materials.

Advise on day-to-day business operations, including eminent domain, collections, easements, boundary disputes, and landlord–tenant issues.

Manage and support litigation strategy for collections, easement enforcement, title disputes, and other real estate litigation.

Draft pleadings, responses, and discovery in litigation matters, and coordinate with outside counsel as needed.

Conduct legal research and prepare memoranda on issues impacting the company.

Advise leadership on risk assessment, dispute resolution, and litigation avoidance strategies.

Ensure compliance with applicable laws, regulations, and internal policies.

Coordinate and manage outside counsel on specialized or contested matters.

Preferred Skills & Experience

Experience in the real estate industry strongly preferred.

Familiarity with or willingness to adopt AI tools to improve efficiency and outcomes.

Strong analytical, negotiation, and communication skills.

Ability to manage multiple projects and deadlines in a fast-paced environment.
